Standard Terms and Conditions for Advertising on LG2G

Subject matter of this Contract

  1. Subject of this contract is an advertisement as further determined in the online form on the Editor’s website http://www.LG2G.info. The Legal Guide to Germany wants to introduce German law to foreigners in the English language. Sponsor testifies that he can at least somewhat fluently sell his products and / or services in English and is willing and able to deal with potential customers in English. These are major criteria to qualify to place an ad on the website.
  2. Purchase of any banner ad earns a free Linked Listing!
  3. Advertisement shall be published within three working days after receiving payment. Editor will have the advertisement retrievable for generally 24 hours every day.

Specifications of Icons for Storefronts

Icons should be in GIF or JPEG format, maximum 300 x 300 pixel size, resolution of 75 pixels per inch. Logo may not simulate a Windows or Macintosh system message. Sponsor’s banner is to be so developed that viewers will not be mislead on the advertising character of the banner. Sponsor promises to meet current law and not infringe third parties’ rights.

Maturities

  1. All listing prices are annual and to be paid upfront – if not otherwise specified. For addresses in Germany valid VAT will be added on the bill. All prices for ads in newsletters are for one edition. No payments shall be refunded if contract ends prematurely.
  2. The Sponsor will pay 13% p.a. default interest in any case of default. The Editor can demand to be reimbursed with € 10 flat default damages for each reminder. Any further damages, e.g. bank institute fees, remain reserved.
  3. Payments are to be made free of cost for Editor if paid by bank transferal. Payments from outside Germany can be made either directly to his account or over the PayPal or MoneyBookers financial services.

Duration of Advertisement

  1. The period of advertisement shall begin with the next month after receipt of payment. The advertisement will be for one year. This contract will be prolonged for one more year automatically unless a party cancels three months prior to expiration.
  2. Unless otherwise agreed, advertisements in the newsletter are for one edition only.
  3. The Editor may extraordinarily cancel this contract if after signing it becomes known that the Sponsor promotes any kind of illegal, unlawful, obscene, racist, or similar contents or when the Sponsor refuses to sell his products / services in English. The Sponsor is not entitled to any reimbursments.

Warranty and Liability

  1. The Editor will not be held liable for the operability of the internet. However, the Editor must make sure that the sponsorships are generally noticeable. The Editor can be held liable for a breach of essential contractual duties or for harming persons. Disregarding clause 1, the Editor or any of his (employed or freelanced) personnel will only be held liable for the breach of any precontractual, contractual, or postcontractual duties in the cases of gross negligence or purpose.
  2. The Sponsor promises to have an uploaded and generally retrievable website which should have at least also English text that can be directly addressed. Upon clicking on the banner, the reader of the Legal Guide to Germany should land on a page in English. These are cardinal obligations of the Sponsor.
  3. The Editor is entitled to immediately remove Sponsor’s ad if (s)he violates cardinal rules of this contract, if the ad is illegal, or if third party rights have been infringed. Incidents for a violation of third party’s rights will be especially shown if administrative offices, or other persons initiate legal steps against the Editor or Sponsor due to allegedly stating the Sponsor’s advertisement violates the law or third party rights. Whenever the Sponsor proves the legality of his advertisement after being allegedly challenged, he can receive a time credit for the duration of the lost advertising period.

Miscellaneous

  1. German law will exclusively rule this contract and its interpretation. The place of fulfillment and / or jurisdiction for any dispute arising out of this contract is at the Editor’s office. If the Sponsor consists of several persons, they will be treated as a joint-debtor. Any declaration of one person of the more-person Sponsor will be generally considered as if it jointly said by all persons.
  2. No standard terms and conditions, printed or otherwise published, which conflict with the provisions of the rate card, will be binding for the Editor.

Special agreements

Advertisements that, in the opinion of the Sponsor, resemble editorial matter may be identified as advertising matter without prior approval from the advertiser.
